1. Acceptance of Terms
By accessing, browsing, registering for, or using EZ Animate (the "Service"), including the website, dashboard, generated assets, billing features, support channels, APIs, downloads, previews, sharing tools, and related services, you agree to these Terms of Service (the "Terms") and any policies referenced or incorporated herein. If you use the Service for or on behalf of a company, studio, agency, client, or other organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" include both you and that organization. If you do not agree to these Terms, do not create an account, purchase credits, or otherwise use the Service.
2. Description of Service
EZ Animate is an AI-powered platform for creating 2D game animation assets from prompts and reference images. The Service may include image generation, animation and video interpolation, background removal, frame extraction, spritesheet assembly, previews, downloads, sharing tools, subscriptions, credit purchases, administrative dashboards, and related product features. Features, limits, models, prices, regional availability, and supported providers may change at any time as the product evolves, and we may add, remove, or replace any of them in our sole discretion.
3. Eligibility and Accounts
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is greater) to use the Service. If you are under 18, you must have permission from a parent or legal guardian. You must be legally able to enter into binding contracts and use the Service only where permitted by applicable law, including export, sanctions, and trade laws. You must provide accurate, current, and complete account information, complete any required verification, keep your login credentials confidential, and promptly update information that changes. You are responsible for all activity under your account, including prompts, uploads, generations, downloads, purchases, sharing, team activity, API calls, and use by anyone you allow to access your account.
4. Credits — Nature, Granting, Modification, Expiry, and Revocation
Credits are an internal Service unit used to access generation features and related actions. Credits are not currency, money, securities, property, or any form of stored value, and they have no cash value outside the Service. Credits are non-transferable, non-assignable, non-redeemable for cash, and remain at all times subject to EZ Animate's control. We may grant, deny, defer, expire, suspend, increase, decrease, modify, freeze, withhold, or revoke credits at any time, with or without notice, in our sole discretion, including without limitation: (a) changing the credit cost of any feature, model, generation type, or action; (b) changing the number of credits included in any subscription plan, signup bonus, daily login bonus, referral, promotion, or manual grant, with effect on current and future users from the change date forward; (c) configuring, extending, shortening, or removing expiry rules so that unused credits expire after a defined period that we may set or change at any time; (d) revoking credits we believe were granted by mistake, configuration error, fraud, abuse, refund, chargeback, payment reversal, terms violation, account compromise, exploitation of bugs or pricing errors, multi-account abuse, refund or promotion stacking, or any reason we deem appropriate; and (e) suspending, freezing, or zeroing credits when an account is restricted, suspended, terminated, or under investigation. We are not obligated to honor previously displayed credit balances, exchange rates, or grant rates that were displayed in error or before a configuration change took effect. You acknowledge and agree that you have no vested, contractual, or property right to any specific credit balance, exchange rate, expiry policy, plan inclusion, generation cost, or feature pricing, and that decisions about credits are not subject to a separate dispute process beyond what is provided in these Terms. Unused credits do not roll over indefinitely if expiry is configured, and we are not liable for credits that expire under the rules in effect at the time.
5. Subscriptions and Auto-Renewal
Subscription plans grant a recurring monthly credit allotment together with plan-specific features such as frame caps, output resolution caps, history retention, queue priority, and API access — all subject to the rules in Section 4 (Credits) and to change at any time. Subscriptions automatically renew at the start of each billing period at the then-current price unless you cancel before the renewal date. Cancelling stops future renewals but does not refund the current billing period; you retain access through the end of the period for which you have paid. Plan features, monthly credit amounts, and plan-specific rules may change at any time and apply to all current and future subscribers from the change date forward. Promotional or introductory pricing is not a price guarantee, and renewals occur at the then-current standard rate after any introductory period unless we explicitly state otherwise. You authorize EZ Animate and its payment processor to charge your payment method for renewals, taxes, surcharges, refund reversals, and any amounts you owe under these Terms. If a charge fails we may retry, downgrade your plan, suspend access, restrict features, revoke pending credits, or terminate the subscription. You are responsible for keeping your payment method current.
6. Payments, Taxes, and Refunds
Payments are processed by Stripe or another payment processor whose separate terms also apply to your payment activity. Prices, fees, and credit costs are quoted in U.S. dollars unless stated otherwise and may not include taxes, currency conversion fees, payment-method fees, or other charges added by your bank, card issuer, or payment provider. You are responsible for any applicable taxes, withholdings, duties, or government charges associated with your purchase that are not included in our listed price. All credit purchases and subscription payments are final and non-refundable except where required by applicable law or where we approve a refund at our sole discretion after review. We may decline refund requests for, without limitation: used or partially used credits; subjective AI output quality; normal renewal charges; charges issued before a cancellation took effect; chargeback abuse; payment fraud; account violations; refund or promotion stacking; or claims inconsistent with these Terms. If we issue a refund, we may proportionally revoke any unused credits granted by that purchase under Section 4. Initiating a chargeback or payment dispute without first contacting us in good faith may result in account suspension, proportional credit revocation, recovery of associated costs, and refusal of future service.
7. Your Content and License to Operate the Service
You retain any rights you have in prompts, uploaded files, reference images, and generated outputs, subject to applicable law and third-party rights. You grant EZ Animate, its service providers, and infrastructure partners a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, process, transmit, display, cache, adapt, and create technical derivatives of your content as needed to provide, secure, support, improve, monitor, and enforce the Service, prevent abuse, comply with law, and operate routine business functions such as backups, analytics, and support. You represent and warrant that you have all rights, permissions, and consents needed for anything you upload or ask the Service to process. Any unsolicited feedback, suggestions, or ideas you provide may be used by EZ Animate without obligation or compensation.
8. Generated Outputs and Commercial Use
You are responsible for reviewing generated outputs before using, publishing, selling, distributing, or incorporating them into a game, product, advertisement, portfolio, client project, marketplace asset, or commercial release. AI systems may produce inaccurate, offensive, similar, non-unique, low-quality, or rights-sensitive outputs, and outputs may not qualify for copyright protection in every jurisdiction. EZ Animate does not guarantee that generated assets are unique, registrable, non-infringing, suitable for your intended use, or free from third-party claims, and we make no representation that any specific output will be produced or remain accessible. Your commercial use of outputs is at your own risk and subject to all third-party rights and applicable law.
9. Intellectual Property and Brand Protection
EZ Animate, its logo, domain names, interface designs, software, workflows, documentation, text, graphics, trade dress, and brand elements are owned by or licensed to EZ Animate and are protected by copyright, trademark, trade secret, and other laws. You may not copy, modify, reverse engineer, decompile, resell, frame, scrape, mirror, impersonate, dilute, register confusingly similar names, use our marks in advertising, imply endorsement, or use EZ Animate brand assets without our prior written permission, except as allowed by mandatory law. We reserve all rights not expressly granted in these Terms.
10. Third-Party Rights and Copyright Complaints
You may not upload, prompt for, generate, share, or use content that infringes or misappropriates copyrights, trademarks, publicity rights, privacy rights, trade secrets, confidential information, contract rights, or other third-party rights. This includes unauthorized use of protected characters, logos, brands, celebrity likenesses, copyrighted artwork, game assets, music, images, or client materials. If you believe content on the Service infringes your rights, send a written notice through the Contact page that includes: identification of the work claimed to be infringed, identification of the allegedly infringing material with enough detail to locate it, your contact information, a good-faith statement that the use is not authorized, a statement under penalty of perjury that the information is accurate, and your physical or electronic signature. We may remove allegedly infringing content, terminate repeat infringers, and forward notices as appropriate.
11. Acceptable Use
You may not use the Service to create, upload, share, request, or attempt to generate illegal, harmful, abusive, exploitative, hateful, harassing, defamatory, deceptive, fraudulent, infringing, obscene, malicious, or privacy-invasive content. You may not generate fake reviews, deceptive endorsements, impersonations, forged evidence, malware, phishing content, non-consensual intimate content, content sexualizing or exploiting minors, content depicting real people without consent, biometric identifiers without permission, content intended to evade detection, mislead consumers, manipulate elections, or violate platform rules, industry rules, or applicable law.
12. Security, Abuse, and Platform Integrity
You may not bypass, disable, overload, probe, scan, attack, scrape, automate, benchmark for competitive abuse, resell access, share accounts, exploit bugs or pricing errors, interfere with other users, extract models or training data, circumvent rate limits, hide policy violations, or access private areas of the Service without permission. We may monitor usage, throttle or block requests, remove content, revoke shared links, freeze balances, suspend or terminate accounts, preserve records, cooperate with law enforcement, or report activity when needed to protect users, the Service, our partners, or legal rights.
13. Privacy and Data
Our Privacy Policy explains how we collect, use, store, share, and protect personal information. By using the Service, you agree that prompts, uploads, generated content, account data, billing events, logs, support messages, IP addresses, device data, and technical information may be processed by EZ Animate and relevant providers as described in the Privacy Policy and as needed for security, compliance, abuse prevention, product operation, fraud detection, and support.
14. Third-Party Services
The Service may rely on third-party AI model providers, payment processors, email providers, analytics tools, storage providers, hosting services, content delivery networks, authentication services, captcha services, and other vendors. We are not responsible for third-party services, websites, models, outages, policy changes, data practices, pricing, results, or errors, and your use of third-party services may be governed by their separate terms and policies. Changes to third-party services may force changes to the Service without prior notice.
15. Beta and Experimental Features
From time to time we may make beta, alpha, preview, experimental, or early-access features, models, or plans available, whether labeled as such or not. Beta features are provided "as is," may be unstable, may produce inconsistent results, may change without notice, may be removed at any time, and are not covered by any service-level expectation or commitment. We may impose additional terms, usage caps, eligibility rules, or feedback obligations for beta features. Reliance on beta features for production work, paid client work, or time-sensitive deliverables is at your own risk.
16. Service Availability and Changes
We work to keep EZ Animate useful and reliable, but we do not guarantee uninterrupted access, exact generation times, permanent storage, permanent availability of every feature, model, or plan, compatibility with every game engine, identical results from repeated prompts, or successful delivery of every email or webhook. We may modify, pause, suspend, deprecate, discontinue, restrict, or replace any part of the Service — including plans, credit costs, generation limits, frame caps, resolution caps, history retention, model selections, queue priorities, sharing features, storage limits, supported providers, supported regions, and pricing — at any time and for any reason, with or without notice.
17. Suspension, Termination, and Survival
We may suspend, restrict, throttle, downgrade, or terminate access to the Service, remove content, revoke credits, disable downloads, invalidate shared links, freeze account balances, or refuse future service if we believe you violated these Terms, created legal or regulatory risk, abused refunds or payments, infringed third-party rights, threatened platform security, harmed other users, used the Service unlawfully, exploited bugs or pricing errors, or engaged in conduct inconsistent with the spirit of these Terms. Such actions may be taken with or without prior notice. You may stop using the Service at any time, but ongoing payment obligations, ownership terms, licenses needed for prior operation, disclaimers, limitations of liability, indemnity, dispute terms, and governing law provisions will survive termination. Termination does not entitle you to a refund of fees paid, and credits associated with a terminated account are forfeited under Section 4.
18. Disclaimers
The Service and all outputs are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, EZ Animate disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, error-free operation, and absence of viruses or harmful components. EZ Animate does not provide legal, copyright, trademark, business, tax, or professional advice, and nothing in the Service constitutes such advice.
19. Limitation of Liability
To the maximum extent permitted by law, EZ Animate and its owners, officers, employees, contractors, affiliates, suppliers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost goodwill, production delays, business interruption, replacement costs, missed deadlines, or third-party claims, arising from or related to the Service, generated outputs, account access, payments, credits, or these Terms. Our aggregate liability for any claim is limited to the amount you paid to EZ Animate for the Service giving rise to the claim during the three (3) months before the event, or USD 100, whichever is greater. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you; in those cases, our liability is limited to the maximum extent permitted by law.
20. Indemnity and Legal Compliance
You agree to defend, indemnify, and hold harmless EZ Animate and its owners, officers, employees, contractors, affiliates, suppliers, and partners from claims, damages, losses, liabilities, penalties, costs, and expenses — including reasonable legal fees — arising from or related to your content, prompts, uploads, outputs, commercial use, account activity, breach of these Terms, violation of law, payment disputes, or infringement or misappropriation of third-party rights. You are responsible for complying with all laws that apply to your location, industry, audience, content, advertising, exports, sanctions, privacy, consumer protection, taxation, and intellectual property use.
21. Governing Law, Disputes, Arbitration, and Class Action Waiver
These Terms and any dispute arising from or related to the Service, your account, payments, credits, or content are governed by the laws of the jurisdiction in which EZ Animate is principally established, without regard to its conflict-of-laws rules. Before filing any formal claim, you agree to first contact us through the Contact page and attempt good-faith resolution for at least thirty (30) days. To the maximum extent permitted by law, you and EZ Animate agree that any dispute that cannot be resolved informally will be resolved by binding individual arbitration rather than in court, except for small-claims matters and claims for injunctive relief to protect intellectual property or platform integrity. You and EZ Animate each waive any right to a jury trial and to participate in a class action, class arbitration, consolidated proceeding, or representative action. If any portion of this section is found unenforceable, the remainder remains in effect. Where mandatory consumer-protection law in your jurisdiction prohibits any portion of this section, only that portion is unenforceable, and the rest of these Terms continues to apply.
22. Force Majeure
EZ Animate is not liable for failures or delays caused by events beyond our reasonable control, including without limitation acts of God, natural disasters, fires, floods, pandemics, government actions, war, terrorism, civil unrest, labor disputes, internet outages, hosting outages, third-party API or AI model provider outages, payment processor outages, security incidents, denial-of-service attacks, hardware failures, software defects, data corruption, or failures of public or private telecommunications networks.
23. Notices, Electronic Communications, and Assignment
You consent to receive notices, agreements, disclosures, receipts, billing notices, security alerts, and other communications from EZ Animate electronically — by email to the address associated with your account, through the Service, or by posting on the website — and these communications satisfy any legal requirement that such communications be in writing. You may not assign or transfer your account or any rights under these Terms without our prior written consent. We may assign, transfer, sublicense, or delegate our rights and obligations under these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, asset sale, financing, or similar transaction, or to any affiliate or successor.
24. Changes to Terms, Severability, Entire Agreement, and Contact
We may update these Terms to reflect product, legal, billing, security, regulatory, or operational changes. When changes are material we will make reasonable efforts to notify users through the Service or by email; less material changes may take effect upon posting. Continued use of the Service after the effective date of any change means you accept the updated Terms. If any portion of these Terms is held invalid, illegal, or unenforceable, the remaining portions remain in full force and effect, and the unenforceable portion will be interpreted to give effect to the original intent to the maximum extent permitted by law. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with any policies referenced herein and any plan- or feature-specific terms displayed in the Service, constitute the entire agreement between you and EZ Animate regarding the Service and supersede any prior agreements on the same subject. These Terms do not create any partnership, employment, franchise, joint-venture, or agency relationship.
